These Terms of Use (“Terms”) govern your access to and use of the website located at usip.law (the “Site”), operated by Lockhart IP LLC (doing business as “Lockhart IP”; “we,” “our,” or “us”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms do not govern any legal services Lockhart IP provides to clients. Legal services are governed by a separate signed Attorney Engagement Agreement and the applicable rules of professional conduct.
No Legal Advice; No Attorney-Client Relationship
The content on this Site, including articles, FAQs, service descriptions, and videos, is provided for general informational purposes only. It is not legal advice, and it does not create an attorney-client relationship between you and Lockhart IP.
An attorney-client relationship with Lockhart IP is formed only after you have signed our Attorney Engagement Agreement and paid the required service deposit. Until both conditions are met, we have no obligation to represent you or to treat your communications as confidential. Please see our Privacy Policy for details on how we handle information received through the Site.
Do not send confidential or sensitive information through the Site, our contact forms, or email until an attorney-client relationship has been established.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial use. This license does not include the right to:
- Copy, reproduce, distribute, modify, translate, or create derivative works from the Site or its content, except as expressly permitted by these Terms or applicable law
- Use any automated system (including bots, scrapers, or data-mining tools) to access, collect, or index the Site
- Attempt to interfere with or disrupt the Site, its servers, or the networks connected to the Site
- Access areas of the Site that are not intended for public use, or attempt to bypass any security measures
- Use the Site in any way that violates any applicable law or regulation
- Impersonate any person or misrepresent your affiliation with any person or entity
- Use the Site to transmit unsolicited advertising, spam, or harmful code
We may suspend or terminate your access to the Site at any time, for any reason, without notice.
Intellectual Property
The Site and its contents, including text, graphics, logos, images, audio, video, software, and the selection and arrangement of those materials, are owned by Lockhart IP LLC or its licensors and are protected by U.S. and international intellectual property laws.
“Lockhart IP,” the Lockhart IP logo, and other trademarks displayed on the Site are the property of Lockhart IP LLC. You may not use these marks without our prior written permission, except as allowed by fair use principles.
You may view, download, and print pages from the Site for your own personal, non-commercial reference, provided you do not remove any copyright or other proprietary notices. All other uses require our prior written permission.
Information You Submit
If you submit information through the Site, including through our contact or consultation forms, you represent that the information is accurate and that you have the right to share it with us. We may use information you submit to respond to your inquiry, run conflict-of-interest checks, and otherwise operate our practice, as described in our Privacy Policy.
Do not send us confidential information until an attorney-client relationship is established. Unsolicited information may not be treated as confidential.
Third-Party Links and Content
The Site may link to websites, tools, or resources operated by third parties, including professional associations, government agencies, courts, and online scheduling services. We provide those links for convenience only. We do not control those third parties and are not responsible for their content, privacy practices, or availability. Your use of any third-party site or service is governed by the terms and policies of that third party.
Disclaimer of Warranties
The Site and its content are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, to the fullest extent permitted by law. We do not warrant that:
- The Site will be uninterrupted, secure, or error-free
- The information on the Site is complete, accurate, current, or suitable for any particular purpose
- Any defects will be corrected
- The Site or its servers are free of viruses or other harmful components
Any reliance you place on information on the Site is at your own risk. Laws change, and each legal matter is different. If you need legal advice, engage qualified counsel for your specific situation.
Limitation of Liability
To the fullest extent permitted by law, Lockhart IP LLC, its members, attorneys, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.
In any event, our total liability for any claim arising from your use of the Site is limited to the amount of fees you have paid to us, if any, for access to or use of the Site.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the minimum extent required by law.
Indemnification
You agree to defend, indemnify, and hold harmless Lockhart IP LLC and its members, attorneys, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.
Changes to These Terms
We may update these Terms at any time to reflect changes in our practices, technology, or applicable law. When we make material changes, we will update the “Last Updated” date at the top of this page and, where appropriate, provide additional notice on the Site. Your continued use of the Site after the changes take effect means you accept the updated Terms.
Governing Law and Venue
These Terms and any dispute arising from your use of the Site are governed by the laws of the State of Texas, without regard to its conflicts-of-law principles. You agree that any legal action must be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, or, if that is not possible, removed.
Entire Agreement
These Terms, together with our Privacy Policy and any other notices we post on the Site, are the entire agreement between you and Lockhart IP LLC regarding your use of the Site. If you engage Lockhart IP for legal services, those services are governed by a separate Attorney Engagement Agreement, which controls over these Terms in the event of any conflict related to the engagement.
